Partner Program
Partner Program Terms
Version 1.1. TCC Solutions Group LLC partner program.
1. Parties, tracks and how this agreement starts
1.1 These Partner Program Terms (the "Terms") are between TCC Solutions Group LLC, a California limited liability company (California Secretary of State entity number B20260395844) with its principal place of business in Placerville, California ("TCCSG", "we", "us"), and the person or business that submits a partner application on tccsolutionsgroup.com ("you").
1.2 There are two tracks, and you choose one on your application:
- Referrer. An individual who is at least 18, does not operate a business offering these services, and only shares the Referral Link or introduces someone who has agreed to be contacted. A Referrer's activities are limited as Section 3.5 says.
- Business Partner. A sole proprietor or business entity that operates an independent business and holds any license or registration its activities require.
1.3 You accept these Terms by checking the acceptance box, typing your full legal name, and submitting the application. Your typed name is your electronic signature.
1.4 Submitting an application does not make you a partner. Only Sections 7 (confidentiality), 13 (dispute resolution) and 14 (general) bind us before approval. The rest take effect when TCCSG approves your application and notifies you by email (the "Effective Date"). TCCSG may decline any application for any lawful reason.
1.5 You confirm that you are at least 18, have the legal capacity to enter a contract, and, if you apply for a business, have authority to bind it. Everything you put in your application is true.
1.6 These Terms include Schedule A as approved for you, our Privacy Policy, and the Electronic Signature and Records Consent you accepted.
2. Definitions
- "Referral Link" means the unique link or QR code TCCSG issues to you.
- "Prospect" means a business or person who reaches TCCSG through your Referral Link.
- "Recorded Introduction" means TCCSG's record of the first time a Prospect opened your Referral Link, as shown in your dashboard.
- "Introduction Window" means the period in Schedule A, starting at the Recorded Introduction, during which a Prospect must become a Customer for you to be credited.
- "Covered Services" means the TCCSG services listed in Schedule A. Services not listed, including PlateHaven subscriptions unless Schedule A lists them, are not Covered Services.
- "Customer" means a Prospect that signs a written agreement with TCCSG for paid Covered Services within the Introduction Window.
- "Net Receipts" means cash TCCSG actually receives from a Customer for Covered Services, after refunds, credits, chargebacks, discounts, sales and use taxes, payment-processing fees, and amounts TCCSG passes through to third parties (such as hosting, software licenses or ad spend).
- "Credit Period" means the period in Schedule A, starting on the date TCCSG first receives payment from the Customer.
3. Your status
3.1 You are not TCCSG's employee, agent, partner, joint venturer or franchisee. You cannot bind TCCSG or make promises, quotes or representations on its behalf.
3.2 You decide whether, when, where and to whom you make introductions. TCCSG does not set your hours, supervise you, give you scripts or targets, or require any number of referrals.
3.3 This relationship is non-exclusive in both directions. You may work with other businesses, including competitors of TCCSG, and TCCSG may work with other referral sources and sell directly.
3.4 Business Partners. You represent that you operate an independently established business or practice offering services to others, hold every business license or registration your activities require, advertise or are free to advertise your services, are free to take other clients, and supply your own tools. You may propose a different rate under Section 5.1.
3.5 Referrers. You may share your Referral Link or QR code, tell people about TCCSG, and introduce a person who has told you they want to be contacted. You will not pitch, demonstrate, quote, negotiate, answer detailed questions about price or scope, follow up with Prospects for TCCSG, attend sales meetings, or collect payments or information for TCCSG. TCCSG will not ask you to do any of those things. You are not providing services to TCCSG.
3.6 Track changes. If TCCSG reasonably believes your activities no longer fit your track, it may move you to the right track on written notice, or end these Terms under Section 9. If you want to do more than your track allows, apply for the Business Partner track.
3.7 You are responsible for your own taxes and for any insurance you want. TCCSG will not withhold taxes except as the law requires.
4. How credit is recorded
4.1 The first Recorded Introduction for a Prospect stays with you. A later introduction through another partner does not replace it.
4.2 A Recorded Introduction expires if the Prospect has not become a Customer by the end of the Introduction Window. A new introduction after that may be credited to whoever introduces them.
4.3 TCCSG's records are the reference for who introduced a Prospect and when, unless there is a clear error. Your dashboard shows the status of each introduction.
4.4 You receive no credit for (a) a business that was already a TCCSG customer, or was already in active discussions with TCCSG that TCCSG can document, before your Recorded Introduction; (b) yourself, your affiliates, or businesses you own or control, unless TCCSG agrees in writing; or (c) a Prospect who reaches TCCSG by another route and never used your Referral Link.
4.5 TCCSG decides, in its sole business judgment, whether to contact, accept, quote, price or serve any Prospect. TCCSG does not promise that any introduction will become a Customer.
5. Commission and payment
5.1 For each Customer credited to you, TCCSG will pay commission equal to the rate in Schedule A of Net Receipts received during the Credit Period. You may propose a different rate before you accept Schedule A. Any rate we agree is recorded in your Schedule A.
5.2 Commission is earned only on Net Receipts TCCSG has actually received in cleared funds. If a Customer pays in installments, commission follows each installment.
5.3 TCCSG will pay commission within 30 days after the end of the calendar month in which it received the cleared funds, by ACH transfer or check, in US dollars. Your dashboard shows each commission and its status.
5.4 If TCCSG refunds or credits a payment, or a payment is reversed, within 90 days after the commission on it was paid, TCCSG may deduct that commission from future commissions owed to you. If none is owed, you will repay it within 30 days after we ask.
5.5 Before your first payment you must give TCCSG a completed IRS Form W-9. TCCSG may withhold payment until it has one, and may withhold taxes if the law requires it. TCCSG will report payments as the law requires.
5.6 If you disagree with a commission amount, tell us in writing within 90 days after it appears in your dashboard. We will review it in good faith and respond within 30 days.
5.7 TCCSG may change rates or windows for future introductions on notice under Section 10. A change does not reduce commission on Customers already credited to you.
5.8 Joining is free. TCCSG pays commission only on Net Receipts from Customers' purchases of Covered Services. TCCSG does not charge anyone to join, does not pay anyone for recruiting other partners, and you may not charge anyone to join or take part in the Program.
6. Your conduct
6.1 Be honest. Describe TCCSG accurately. Do not promise results, prices, timelines or discounts, do not say you work for TCCSG, and do not collect money for TCCSG.
6.2 Disclose your relationship. Tell each person you introduce that you may receive compensation if they become a customer. Follow the law on endorsements and testimonials.
6.3 Obey marketing laws. Do not send unsolicited commercial email or text messages, make unsolicited calls, use purchased or scraped lists, or hide who you are, in connection with TCCSG or your Referral Link. Any message you send must comply with all applicable law, including the CAN-SPAM Act, California Business and Professions Code section 17529.5, and the Telephone Consumer Protection Act.
6.4 Use TCCSG's name and logo only as Section 8 allows.
6.5 Licensed professions. Some licenses limit or condition referral fees and commissions (for example, accountants, attorneys, real estate and insurance licensees, and health care providers). You are solely responsible for knowing and following the rules that apply to you and for making any disclosure to your own clients that they require. You promise not to make an introduction or accept a payment that your license or the law forbids. TCCSG may withhold or decline any payment it reasonably believes would violate the law, and will tell you why.
6.6 Do not make introductions of government agencies or officials, or of anyone you know to be under 18.
6.7 Share a Prospect's contact details with TCCSG only if the Prospect has asked you to or agreed to it.
6.8 Keep your sign-in link and dashboard access private. You are responsible for activity under your account.
7. Confidentiality and data
7.1 Keep TCCSG's non-public information confidential, including pricing, methods, software, prospect and customer information, anything shown in your dashboard, and anything marked or obviously confidential. Use it only for the Program. This lasts for the term and three years after, and for trade secrets as long as they remain trade secrets. It does not cover information that is public, that you already knew, that you received from a third party, or that you must disclose by law (tell us first if the law allows).
7.2 Notice under 18 U.S.C. section 1833(b): you will not be held liable under any trade secret law for disclosing a trade secret in confidence to a government official or an attorney solely to report or investigate a suspected violation of law, or in a sealed court filing.
7.3 TCCSG will use a Prospect's information to respond to that Prospect, to provide and support services it requests, to credit you, to market its own services to a Prospect who has engaged with TCCSG, and as our Privacy Policy states. TCCSG will not sell it, and will not use it to build a marketing list from your wider network.
7.4 Neither of us will use the other's personal information for any purpose beyond these Terms.
8. Names, logos and the Referral Link
8.1 TCCSG grants you a limited, non-exclusive, non-transferable, revocable license to display TCCSG's name and logo, exactly as TCCSG supplies them, only to point people to your Referral Link. You may not register any domain, social media handle or business name that includes TCCSG's marks, or suggest TCCSG endorses you beyond this relationship.
8.2 The Referral Link, QR code, dashboard and all data in them belong to TCCSG. You own your own business, name, contacts and materials. If you give TCCSG suggestions about the Program, TCCSG may use them freely without payment.
9. Term and ending the relationship
9.1 These Terms run from the Effective Date until ended under this Section.
9.2 You may end them at any time by emailing tccsolutions2025@gmail.com or using the dashboard.
9.3 TCCSG may end them (a) for any reason on 14 days' written notice, or (b) immediately by written notice if you materially breach these Terms, make a misleading statement to a Prospect, or TCCSG reasonably believes continuing creates legal or reputational risk.
9.4 After the Terms end, TCCSG will disable your Referral Link for new introductions. TCCSG will still pay commission on Net Receipts from Customers whose Recorded Introduction happened before the end date, for the rest of their Credit Period. TCCSG may stop paying commission on a Customer only to the extent that Customer was obtained through conduct that breached Section 6, and will tell you which Customers and why.
9.5 Sections 4, 5 (for amounts earned), 7, 8.2, 9.4, 11, 12, 13 and 14 survive.
10. Changes
10.1 TCCSG may change these Terms or Schedule A for the future by emailing you at the address on file and posting the change in your dashboard at least 30 days before it takes effect.
10.2 A change does not reduce commission on Customers whose Recorded Introduction happened before the change takes effect, for the rest of their Credit Period, unless you agree in writing.
10.3 If you keep using your Referral Link after the effective date, you accept the change. For a change to commission, payment or liability terms, TCCSG will also ask you to confirm it again in your dashboard. If you do not agree, you may end the Terms under 9.2 before the change takes effect.
11. No guarantees
11.1 The Program, the dashboard and the Referral Link are provided "as is". TCCSG does not guarantee any number of introductions, customers or commissions, or that the dashboard will always be available or error-free.
11.2 Nothing in this Section limits a right or liability that California law does not allow to be limited.
12. Indemnity and limits on liability
12.1 You will defend and indemnify TCCSG against third-party claims, and the resulting losses and reasonable attorneys' fees, that arise from (a) your marketing or communications about TCCSG, including unlawful email, text or telephone contact, (b) your false or misleading statements, (c) your breach of law or of Section 6, or (d) your taxes, licenses or personnel.
12.2 TCCSG will defend and indemnify you against third-party claims, and the resulting losses and reasonable attorneys' fees, that TCCSG's name, logo or approved materials, used as TCCSG supplied them, infringe someone's intellectual property rights.
12.3 The indemnified party must give prompt written notice, let the indemnifying party control the defense and settlement (but no settlement may admit fault by the indemnified party or impose obligations on it without consent), and cooperate at the indemnifying party's expense.
12.4 Neither of us is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits or goodwill, arising from these Terms.
12.5 Except for the exclusions in 12.6, each party's total liability to the other arising from these Terms in any 12-month period is limited to the greater of (a) the commission paid or payable to you in the previous 12 months and (b) $1,000.
12.6 Sections 12.4 and 12.5 do not apply to (a) commission already earned and owed, (b) a party's fraud, willful misconduct or gross negligence, (c) any liability that California law, including California Civil Code section 1668, does not allow to be limited, including liability for violating the law, (d) breach of Section 7, (e) misuse of the other's names or marks, or (f) indemnity obligations under 12.1 and 12.2.
13. Dispute resolution
13.1 California law governs these Terms, without regard to conflict-of-law rules.
13.2 Before filing anything, each of us will give the other written notice of the dispute and try in good faith to resolve it for 30 days. Either of us may go to court at once to stop misuse of confidential information or marks.
13.3 Any dispute not resolved in that time will be brought only in the state courts located in El Dorado County, California, or the United States District Court for the Eastern District of California, and each of us consents to those courts' jurisdiction. Either of us may use small claims court in any county where it has jurisdiction.
13.4 In any action to enforce these Terms, the prevailing party may recover its reasonable attorneys' fees and costs. This right applies equally to both of us.
14. General
14.1 Entire agreement. These Terms, Schedule A, the Electronic Signature and Records Consent, and the Privacy Policy are the whole agreement about the Program and replace any earlier statements, including website text. This does not excuse a statement made fraudulently. If documents conflict, Schedule A controls on rate and payment, then these Terms.
14.2 Assignment. You may not assign these Terms without TCCSG's written consent. TCCSG may assign them, on written notice, to an affiliate or to a successor to all or part of its business, including through a merger, sale or restructuring.
14.3 Notices. TCCSG will give notice by email to the address on your application or account and in your dashboard. You will give notice to tccsolutions2025@gmail.com. Email is received on the next business day after it is sent.
14.4 Severability. If a court finds any part unenforceable, it will be enforced to the extent allowed and the rest stays in force.
14.5 No waiver. Not enforcing a right is not giving it up.
14.6 Force majeure. Neither of us is liable for delay caused by events beyond our reasonable control, except for payment obligations.
14.7 Counsel. You confirm you have had the chance to read these Terms and ask a lawyer about them.
14.8 Electronic records. We may keep these Terms, your acceptance and our dealings in electronic form, and a printout is admissible as evidence to the same extent as a paper original.
14.9 No third-party rights. Only you and TCCSG have rights under these Terms.
Schedule A: Commission Schedule
This schedule states the payment amount, rate and due date for each track. TCCSG records the rate approved for you in your approval email and dashboard.
